Welcome to avnu. These Consumer Terms of Service (“Terms”) govern your access to and use of the avnu website, mobile applications, and related services (collectively, the “Platform”).The Platform is operated by avnu, LLC, a Utah limited liability company (“avnu,” “we,” “us,” or “our”).
By accessing or using the Platform, browsing products, or making a purchase, you agree to be bound by these Terms and our related policies, including our Privacy Policy, Returns Policy, and any other policies referenced herein (collectively, the “Policies”).
If you do not agree, please do not use the Platform.
1. What avnu Is (and Is Not)
avnu operates a curated online marketplace that helps shoppers discover and purchase products from independent brands.Important clarifications:
- avnu is not the seller of products
- Each product is sold directly by the merchant brand
- Each merchant is the Seller of Record
- avnu does not manufacture, inspect, warehouse, package, ship, deliver, or take possession of products
- avnu does not physically handle returns
avnu provides technology and transaction facilitation services but is not a party to the sale between you and the merchant. avnu does not take title to products at any time.
2. Your Relationship With Merchants
When you place an order through the Platform:
- You are purchasing directly from the merchant
The merchant is responsible for:
- Product descriptions and accuracy
- Product quality and safety
- Order fulfillment and shipment
- Accepting and evaluating returns
avnu may assist with transaction facilitation, communications, and refunds as described below, but this does not make avnu the seller.
3. Account Eligibility & Responsibilities
You must be at least 18 years old to make purchases.You agree to:
- Provide accurate information
- Maintain the security of your login credentials
- Use the Platform lawfully and in good faith
avnu may suspend or terminate accounts for violations of these Terms.
4. Orders, Pricing & Availability
- Product listings, pricing, and availability are set by merchants
- Prices and availability may change at any time
- avnu does not guarantee listings are error-free
If a pricing or listing error occurs, the merchant may cancel the order and issue a refund.
5. Payments & Taxes
Payments are processed through the third-party payment processor, Stripe.
- Sales tax may be collected as required by law
- avnu may calculate, collect, and remit taxes on behalf of merchants where required
- avnu is not responsible for payment processor delays, errors, holds, or account actions
6. Shipping & Delivery
- Orders are fulfilled and shipped by merchants, not by avnu
-Merchants are required to ship orders using UPS
-Delivery estimates are not guaranteed
avnu is not responsible for:
- Carrier delays
- Shipping errors
- Lost or damaged packages
- Incorrect shipping information provided by you
7. Returns & Refunds
7.1 Returns
All merchants are required to offer a minimum 30-day return window from delivery, subject to return eligibility requirements.
Eligible returns generally include:
- Unused items in original condition
- Defective or damaged items
- Items not as described
Returned items are shipped directly back to the merchant.
7.2 Refund Processing
Once a returned item is received and approved by the merchant:
-avnu will process the refund on the merchant’s behalf
-Refunds are issued to the original payment method
- Processing times may vary depending on your financial institution
avnu does not determine return eligibility and is not responsible for a merchant’s decision to approve or deny a refund.
8. Product Safety & Disclaimers
Products sold on avnu are offered by independent merchants.
avnu does not:
- Inspect or test products
- Guarantee regulatory compliance
- Provide warranties on products
- Endorse or adopt any statements, representations, or warranties made by merchants
You agree that:
- Use of products is at your own risk
- avnu is not responsible for injuries, damages, or losses caused by products
9. Platform Availability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”avnu does not guarantee that the Platform will be uninterrupted, secure, error-free, or free from viruses or other harmful components.
10. Content & Intellectual Property
All Platform content (excluding merchant and user content) is owned by avnu or its licensors.By submitting reviews, photos, or other content, you grant avnu a non-exclusive, royalty-free license to use such content in connection with avnu’s business.
11. Prohibited Conduct
You may not:
- Post false, misleading, or deceptive content
-Submit fake, manipulated, or incentivized reviewsEngage in harassment, hate speech, or discriminatory behavior
- Interfere with Platform functionality
- Violate applicable laws or third-party rights
- You may not attempt to complete transactions outside the Platform to avoid fees or platform processes.
avnu may remove content or suspend access for violations.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, avnu DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:avnu SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
avnu TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID TO avnu IN THE PAST 12 MONTHS, WHICHEVER IS GREATERavnu is not liable for:
- Product defects
- Merchant actions or omissions
- Shipping or fulfillment issues
14. Indemnification
You agree to indemnify and hold harmless avnu from claims arising out of:
- Your misuse of the Platform
- Your violation of these Terms
- Your infringement of third-party rights
15. Arbitration & Class Action Waiver
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Arbitration will take place in Utah, unless otherwise required by law
- Class and representative actions are waived
- Arbitration fees will be allocated in accordance with the AAA Consumer Arbitration Rules
You may opt out of arbitration by providing written notice to avnu within 30 days of first accepting these Terms.
Nothing in this section prevents you from bringing an eligible claim in small claims court.
16. Force Majeure
avnu is not liable for delays or failure to perform resulting from causes beyond its reasonable control, including natural disasters, carrier disruptions, internet outages, regulatory actions, labor disputes, or acts of government.
17. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
18. Modifications & Entire Agreement
avnu may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.
In the event of a conflict between this Agreement and any policy, guideline, or incorporated document, the terms of this Agreement shall control unless expressly stated otherwise.
These Terms constitute the entire agreement between you and avnu regarding use of the Platform.
